The Legal Department of JPM is responsible for the provision of legal services to the firm. The department also includes the Office of the Secretary (“OTS”).
Legal is organized by Practice groups that conform to the organisation of the firm’s lines of business (“LOBs”) and corporate staff areas, allowing the legal staff to work closely with specific groups on a daily basis. Each LOB has a General Counsel who reports to the Firm’s General Counsel. This structure provides the means for the legal teams to communicate legal and regulatory changes to the LOBs and staff areas, and for the LOBs and staff areas to communicate business developments that have legal/regulatory implications to the legal team in a timely manner.
OTS, headed by the Corporate Secretary who reports to the firm’s General Counsel, partners with senior management, control groups, LOBs and corporate units to promote effective governance of the firm, its branches, subsidiaries and affiliates. The team also maintains the legal good standing status of these entities in the required jurisdictions with responsibility for various regulatory reporting in all locations. It also serves as a central repository of legal, regulatory and shareholder data and maintains the Ownership Tracking System, which is the Firm’s central repository of statutory and regulatory information for all legal entities in which JPM has ownership of a controlling stake.
We are looking for a highly motivated qualified Lawyer and/or qualified Company Secretary to join the EMEA OTS team; based in Dublin and reporting directly to the team lead in Ireland. You will provide governance support and corporate secretarial services to JPM’s businesses, subsidiaries and affiliates in EMEA.
Provide corporate governance support and secretarial services to JPM's businesses, subsidiaries and affiliates in EMEA and coordinate with OTS teams in EMEA and globally
Handle compliance with all relevant statutory and regulatory corporate governance matters of JPM (e.g. statutory filings in relation to corporate changes and compliance with relevant regulatory corporate governance requirements) and advise board directors on these and related governance matters
Develop best practice standards and control framework for JPM
Organize and assist board chairs, board directors and/or board committee members before and at meetings, prepare and distribute relevant documentation, agendas, board packs, action points, follow up / reminders, managing the flow of information from the LOBs and other communication to boards, board committee members and/or shareholders where required
Preparation of written resolutions, draft minutes and actionable items for boards and board committee members and shareholders for review and approval
Maintain corporate records, internal databases both electronic and hard copies
Work on various projects covering Ireland and other EMEA locations and liaising with other EMEA and wider global locations, counterparts in other locations relating to corporate governance, rationalization of legal entities and corporate secretarial matters
Provision of day-to-day advice and training on corporate governance and equipping the relevant skills to senior management and board directors
Ability to work in a fast-paced environment and within tight deadlines
Degree holder with professional qualification such as a Legal qualification or Associate membership of ICSA
Significant relevant experience in the industry or related industry
Sound knowledge of corporate secretarial laws, practical knowledge of corporate governance and regulatory frameworks governing financial services businesses
Awareness of the ever-changing regulatory environment of working in the financial services industry with an enthusiasm for rising to new challenges
Ability to work independently and as part of a team in a fast-paced environment and within tight deadlines
Good teamwork and communication skills, inter-personal, focused, flexible, pro-active and able to take own initiatives
PC skills; ability to use legal entity management systems (e.g. Blueprint/GEMs); Word Excel, Powerpoint, and other system and spreadsheet packages, proficient and fast at learning and adapting to new technology and software.
